Job Summary
The Legal and Compliance Manager, under the supervision of Finance Director, is responsible for coordinating, documenting, reviewing and reacting upon all legal, regulatory, audit and compliance issues. Assist also in getting different business and investment licenses and renewals. The scope of work will cover all Ethiochicken companies at group, operating and subsidiary levels.
Duties and responsibilities
· Legal and regulatory project administration
o Attend all external legal council meetings for coordination of all required actions
o Facilitate research and coordinate with external advisers
o Manage projects related to corporate formation, dissolution, and amendments to articles of incorporation by board resolution
· Legal documentation management and archiving
o Indexing and managing digitalization process
§ Create efficiently accessible archives for use in financing applications and auditor inquiries
· External stakeholder, shareholder, and grantor relationship management
o Track and organize communication and follow-up to shareholders, lenders, grantors, regulatory agencies, and other stakeholders
o Curate grantor reporting documentation
· Data archive curator
o Select appropriate IT solution to safely archive critical corporate documents o Manage vendor relationship for this IT solution
o Ensure regular archiving and backup
· Customer Follow - Up
o Assist in credit customer balances & collection
o Chase default customers and take to court as the need arises
o Take necessary legal actions on post-dated customer checks
· Contract Follow-up
o Ensure company contracts are legally framed in their contents which keep company benefits and rights as protected.
o Ensure all documents need document authorization are authorized by DARO& respective institutions
o Ensure also stamp duties are paid properly on the respective contracts
· Labor Issues
o Work with HR unit in all labor related issues to ensure they are legally in order
o Assist HR in employee anger management, misunderstanding & incompliances
o Represent the company in all employee related legal issues at the necessary rezional and federal courts
o Other related duties as stipulated by the Finance Controller
· Audit and compliance
o Supervise an audits and compliance whether internal or external
o Report audit and compliance matters to the FD and MD or user departments heads
· Secretarial
o Coordinate with management companies to ensure compliance with registrations, shareholder and director resolutions
o Ensure proper filing of secretarial registers like shareholder registers, director’s register and officer’s registers
o Attend to board matters as maybe requested including matters like board minutes compilation.
Competences
· Must be able to work under pressure, meet deadlines, while maintaining a positive attitude and providing exemplary customer service
· Highly motivated to learn about the complexities of business administration and legal compliance
· Detail oriented
Qualifications and Requirement
· Degree in law
Experience
· 3-5 years as company legal representative
· Business administration experience would be considered an advantage
